Step 3 · Around each meeting

Agents handle the paperwork around every meeting.

One drafts the agenda, one drafts the minutes, and one follows up on action items. Use the arrows to see what each one does.

  • Agenda Agent, before the meeting: Drafts the agenda from what is open on your board, so the chair edits a draft instead of starting from a blank page. Carries forward unfinished action items. Lists decisions the board still has to make. Adds recurring items, like the annual conflict-of-interest forms. Attaches the reports directors should read first. Sends the draft to the chair for review.
  • Minutes Agent, after the meeting: Drafts the minutes from your notes, a transcript or a recording, for the secretary to review. Writes up who attended and whether there was quorum. Records each motion and how the vote went. Lists action items with an owner and a due date. Adds decisions to the board’s record once adopted. Sends the draft to the secretary to review and adopt.
  • Follow-through Agent, between meetings: Reminds people about what they agreed to do, and brings anything unfinished to the next agenda. Reminds owners before an action item is due. Tracks each item as open, blocked or done. Flags overdue and blocked items in Mission Control. Keeps one list of everything still open. Carries unfinished items to the next agenda.

Upload your bylaws, policies, board packets and past minutes, then ask questions in plain English. Each answer quotes the passage it used and names the document, with the page when the file has pages. If your documents don’t cover the question, Karma Compass says so instead of guessing.

  • Can we approve the audit engagement without a full board vote? What chairs and executive directors ask before bringing Karma Compass to their board.

  • What is Karma Compass for?

    Running your board meetings and the work between them. The agenda, the board packet, RSVPs and quorum, votes, minutes and action items live in one place, so each meeting picks up where the last one left off.

  • Who on our board uses it?

    Everyone, each in their own role: the chair, the executive director, officers such as the secretary and treasurer, voting and non-voting members, and staff who support the board.

  • Do our directors need an account?

    No. Directors RSVP, vote and open the board packet from links in their email, without signing in. Anyone you invite can also sign in to see the full workspace.

  • Does Karma Compass do anything without our approval?

    Nothing official. The agents prepare the agenda and board packet, the minutes, votes, new board members and updates to the board, and each one waits for a person with the authority to approve it, such as the chair or the secretary. The one thing that runs by itself is a reminder to someone about an action item they own, and only once someone on your board turns on a check that sends it. The chair, executive director or board assistant can stop them at any time in Settings.

  • Is our information secure?

    Each organization’s records are kept separate, and the database itself enforces that separation. Uploaded documents are stored encrypted in Amazon Web Services, and every upload is checked for its real file type and for unsafe content before it is kept. What each person can see and do, from uploading to approving, follows their role on the board. If your organization needs a security review, schedule a call and we will walk you through it.

  • Are votes, approvals and documents time-stamped?

    Yes. Every vote, approval and minutes adoption is saved with who did it and when. If a director changes their vote, the change is added as a new entry rather than replacing the first one, so the history stays intact. Each document in your library shows when it was last updated.

  • Are votes by email valid under our bylaws?

    Karma Compass will not draft a vote until someone records what your bylaws say about voting outside a meeting, the threshold to pass a motion and whether a vote can be changed, with the passage cited. If your bylaws do not allow voting outside a meeting, it will not draft one. Each director’s voting link is made for them alone, works once and expires when voting closes. Whether a particular vote meets your state’s rules is a question for your counsel.

  • How does the two-week Karma Compass Pro trial work?

    Every new organization starts on Karma Compass Pro, free for two weeks. If you have not upgraded by the end of it you move to the Free plan. Nothing is deleted, and nothing is charged.

  • What does the Free plan include?

    Unlimited board members and document uploads, voting, quorum tracking and RSVPs, email participation with personal links, and 5 meetings a year. When you mark a meeting held, Karma Compass drafts its minutes from the agenda, decisions and attendance. It is always free. The assistant, agenda drafts, minutes drafted from your notes, transcripts or recordings, and reminders are part of Karma Compass Pro.

  • How do we get started?

    Sign in with your email address. Karma Compass sends you a code instead of a password, and a new address creates your account. Karma Compass finds your directors on your website and drafts your roster. Then add your bylaws, your last minutes and the date of your next meeting, and Mission Control walks you through each step.

  • Can we download our documents?

    Yes. Any document you upload can be downloaded again from your document library, and so can the board packet PDF. Moving from Pro to Free deletes nothing.
